Seller Agreement

1. Eligibility and Admission

• Sellers are admitted by invitation following review of their experience selling authenticated luxury goods.
• You must be at least 18 years old, have full legal capacity, and not be subject to sanctions or export restrictions.
• You must maintain accurate identification, business, and tax information. False information is grounds for immediate termination.
• Lusso Rinnato may revoke Seller privileges at any time, with or without cause, at its sole discretion.

2. Seller Representations and Warranties

You represent and warrant, on a continuing basis with respect to every Product you list, that:

• Authenticity. The Product is genuine, manufactured by the brand it purports to be, and is not counterfeit, replica, fake, or unauthorized.
• Legal title. You are the lawful owner of the Product, hold full title free of liens, encumbrances, and third-party claims, and have the right to sell it.
• Lawful origin. The Product was acquired lawfully and is not stolen, embezzled, smuggled, fraudulently obtained, or the subject of any ongoing investigation.
• Accurate description. Every photograph, description, condition note, measurement, age estimate, and accessory inclusion is accurate, complete, and not misleading. Material defects, repairs, alterations and imperfections are disclosed.
• No infringement. The listing does not infringe any intellectual property, trademark, copyright, right of publicity, or contractual restriction.
• Compliance. The Product and its sale comply with all applicable laws, including import/export controls, sanctions, customs, consumer protection, and tax laws.

3. Indemnification of Lusso Rinnato

You agree to indemnify, defend, and hold harmless Lusso Rinnato, its parents, affiliates, officers, directors, employees, agents, contractors and authentication specialists from and against any and all claims, demands, actions, proceedings, losses, damages, liabilities, fines, penalties, refunds, chargebacks, costs and expenses (including reasonable attorneys’ fees and the cost of in-house counsel) arising out of or relating to:

• any Product you list that is later determined to be counterfeit, replica, unauthorized, stolen, infringing, misdescribed, or non-conforming;
• any breach of your representations, warranties or obligations under this Agreement or any other policy;
• any claim by a Buyer relating to a Product you sold, including refunds, replacements and consequential losses paid by Lusso Rinnato;
• any third-party claim, including by brand owners, customs authorities, or law enforcement, relating to a Product you listed;
• any tax, duty or governmental charge that should have been paid by you in connection with a sale.

This indemnity survives termination of this Agreement and applies regardless of the form of action (contract, tort, statutory, equitable or otherwise).

4. Counterfeit and Non-Conforming Products

• A Product that fails our authentication review will not be returned to the Seller and may be retained, destroyed, or surrendered to law enforcement or to a brand-protection programme, in our sole discretion and at the Seller’s cost.
• Sellers waive any claim against Lusso Rinnato for the loss, destruction, retention or surrender of items that fail authentication.
• Submission of a counterfeit Product is a material breach of this Agreement, entitles Lusso Rinnato to terminate the account immediately, charge back any fees paid, and report the Seller to the relevant brand owner and authorities.
• Sellers acknowledge that the manufacture, distribution or sale of counterfeit goods is illegal in most jurisdictions and may give rise to civil and criminal liability.

5. Commission, Fees and Payouts

• Commission rates, authentication fees and shipping fees are set by Lusso Rinnato and communicated to the Seller before listing.
• Fees are non-refundable, including where a transaction is cancelled, refunded under Buyer Protection, or the Product fails authentication after Seller dispatch.
• Net payouts are released through Stripe Connect after the Buyer’s acceptance window expires, subject to any holdback for active disputes.
• Lusso Rinnato may offset against future payouts any amount owed to it by the Seller, including refunds, chargebacks, fines and indemnification obligations.
• The Seller is solely responsible for declaring and paying all income, sales and other taxes on payouts received.

6. Buyer Disputes and Refunds

Where a Buyer opens a case under our Buyer Protection policy, Lusso Rinnato alone determines whether the case is approved. If approved, Lusso Rinnato may issue a refund and recover the corresponding amount from the Seller’s pending payouts or by direct debit. The Seller’s indemnity in Section 3 applies in full.

7. Listing Standards and Removal

• Lusso Rinnato may edit, hide or remove any listing at any time, including for inaccurate descriptions, prohibited categories, low photograph quality, or suspected non-authentic items.
• The Seller grants Lusso Rinnato a worldwide, royalty-free licence to display the listing photographs, descriptions and metadata across the platform and in marketing materials.
• Sellers may not include personal contact information, payment instructions or external links in listings.

8. Term, Suspension and Termination

• This Agreement remains in force while you maintain Seller status.
• Lusso Rinnato may suspend or terminate the account at any time, with or without cause, including for actual or suspected breach.
• Upon termination, pending payouts may be withheld pending resolution of any open disputes, indemnification obligations, or regulatory inquiries.
• Sections 2, 3, 4, 5, 9 and 10 survive termination.

9. Limitation of Lusso Rinnato’s Liability to Sellers

To the maximum extent permitted by applicable law, Lusso Rinnato’s total aggregate liability to a Seller arising out of or relating to this Agreement shall not exceed the net commissions actually received by Lusso Rinnato from the Seller during the three (3) months preceding the event giving rise to the claim. Lusso Rinnato shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, goodwill or anticipated savings.

10. Governing Law and Dispute Resolution

This Agreement is governed by the laws of Delaware, United States. Any dispute shall be resolved by binding individual arbitration administered by the American Arbitration Association Commercial Arbitration Rules, seated in Wilmington, Delaware, USA, on the terms set out in Section 16 of the Terms of Service. Class actions and jury trials are waived.

11. Acknowledgement

By listing a Product on the platform, the Seller acknowledges that they have read, understood and agree to be bound by this Seller Agreement, including the indemnification, warranty and dispute-resolution provisions, which the Seller accepts are fundamental to Lusso Rinnato’s willingness to host the listing.
